1. Acceptance of terms

GeniusNetwork (the "Service") is operated by SoftGenius Software & Services ("SoftGenius", "we", "our", "us"), headquartered in Dubai, United Arab Emirates. By accessing or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of the Service

GeniusNetwork is a tool that helps operators manage YouTube channels they own or are authorized to manage — including video metadata, captions, localizations, thumbnails, playlists, and analytics — through the YouTube API Services and other Google APIs.

3. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding agreement. You are responsible for the Google and YouTube accounts you connect, and for ensuring you have the rights and authorization to manage the channels and content you access through the Service.

4. Google and YouTube API Services

The Service uses the YouTube API Services. By using the Service you also agree to be bound by the YouTube Terms of Service, and you acknowledge the Google Privacy Policy. Your use of Google data through the Service is described in our Privacy Policy. You may revoke the Service's access at any time at https://myaccount.google.com/permissions.

5. Acceptable use

You agree not to use the Service to:

• Violate any law, the YouTube Terms of Service, or Google API policies.
• Access or manage channels or content you are not authorized to manage.
• Upload or distribute content that infringes intellectual property or other rights.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or related systems.
• Reverse engineer or misuse the Service or its API quota.

6. Your content and intellectual property

You retain all rights to the content and data in your YouTube channels. We claim no ownership over it. The Service itself, including its software and branding, remains the property of SoftGenius.

7. Service availability

The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue features at any time. Access depends on the availability of Google and YouTube APIs and applicable quota, which are outside our control.

8. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data operations will always succeed.

9. Limitation of liability

To the maximum extent permitted by law, SoftGenius will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits arising from your use of the Service.

10. Termination

You may stop using the Service at any time and revoke its access to your Google account. We may suspend or terminate your access if you breach these terms or misuse the Service.

11. Governing law

These terms are governed by the laws of the United Arab Emirates, and the courts of Dubai have exclusive jurisdiction over any dispute, without regard to conflict-of-law principles.

12. Changes to these terms

We may update these terms from time to time. The "last updated" date above will change when we do. Continued use after an update constitutes acceptance of the revised terms.
